Legal framework governing the use of PreRatings platform and services

By accessing or using the PreRatings platform ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Digital Ledger Solutions (trading as PreRatings).
PreRatings provides an AI-powered preparatory credit rating platform that generates indicative credit ratings based on financial data submitted by users. The Service includes a proprietary 7-factor scoring engine, report generation, and a confidential dashboard for managing rating requests.
You agree to: (a) provide accurate, complete, and current financial data; (b) maintain the confidentiality of your account credentials; (c) not use the Service for any unlawful purpose; (d) not attempt to reverse-engineer, decompile, or extract the AI model; (e) not use automated means to submit rating requests; and (f) not misrepresent PreRatings ratings as official SEBI-registered CRA ratings.
The PreRatings platform, including the AI engine, methodology, design, software, and all content (excluding user-submitted data), is the exclusive intellectual property of Digital Ledger Solutions (trading as PreRatings). Users retain all rights to their submitted financial data. Digital Ledger Solutions grants users a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
PreRatings ratings are preparatory and indicative only. They do not constitute official credit ratings under the SEBI (Credit Rating Agencies) Regulations, 1999. PreRatings shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of or reliance on the Service. The Service is provided "as is" without warranty of any kind, express or implied.
Digital Ledger Solutions (trading as PreRatings) reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

We collect: (a) Account information — name, email address, phone number, company name, and hashed password; (b) Financial data — the financial metrics, ratios, and qualitative assessments you submit for rating analysis; (c) Usage data — pages visited, features used, and time spent on the platform; (d) Communication data — emails, support tickets, and feedback you send us.
We use your data to: (a) Generate preparatory credit ratings and reports; (b) Maintain and improve the AI engine through anonymised, aggregated analysis; (c) Communicate with you about your rating requests and account; (d) Comply with legal obligations. We never use your individual financial data for any purpose other than generating your rating.
We do NOT sell, rent, trade, or share your personal or financial data with any third party. We do not publish your ratings. We do not share data with SEBI, RBI, any regulatory body, or any SEBI-registered CRA. The only exceptions: (a) when required by law or court order; (b) to protect our rights, property, or safety; (c) with service providers bound by confidentiality (e.g., cloud hosting, email delivery).
We protect your data using HTTPS/TLS encryption in transit, BCrypt password hashing, logical separation of client data, and access restricted to authenticated users and administrators. We do not sell or share your data with third parties. However, no method of transmission or electronic storage is 100% secure, and we cannot guarantee absolute security.
We retain your account information and rating history for as long as your account is active. You may request deletion of your account and all associated data at any time by emailing ratings@preratings.com. Anonymised, aggregated data used for model improvement may be retained indefinitely.
You have the right to: (a) access your personal data; (b) correct inaccurate data; (c) request deletion of your data; (d) export your data in a portable format; (e) withdraw consent where processing is consent-based. To exercise these rights, contact ratings@preratings.com.
Critical information about the nature and limitations of PreRatings services
PreRatings is NOT registered with the Securities and Exchange Board of India (SEBI) as a Credit Rating Agency under the SEBI (Credit Rating Agencies) Regulations, 1999. Our ratings are "preparatory" and "indicative" by design. They do NOT constitute official credit ratings as defined under Indian securities law.
You may NOT use PreRatings ratings for: regulatory capital computation (Basel II/III), mutual fund portfolio compliance, offer documents filed with SEBI/RoC/stock exchanges, RBI regulatory returns, insurance investment compliance, pension fund investment guidelines, or any other statutory or regulatory purpose requiring a rating from a SEBI-registered CRA.
PreRatings ratings are generated by an AI model based on financial data submitted by users. They are: (a) for internal preparation and self-assessment only; (b) not a substitute for independent financial, legal, or investment advice; (c) not an offer, solicitation, or recommendation to buy, sell, or hold any security; (d) based on data provided by the user — we do not independently verify submitted financial information; (e) subject to the limitations of any AI model, including potential inaccuracies in edge cases or unusual financial structures.
Digital Ledger Solutions (trading as PreRatings), its partners, employees, and technology partners make no representation or warranty, express or implied, as to the accuracy, completeness, or fitness for any purpose of any rating, report, or analysis provided. By using the Service, you acknowledge that you have read, understood, and agreed to this disclaimer in full.

Each preparatory rating is priced on a basis-points (bps) basis applied to the facility or exposure size being assessed, plus applicable GST. The exact fee is agreed in advance in your mandate and confirmed in writing before the AI engine begins processing. No rating is initiated, and no invoice is raised, until you accept the fee. There is no free tier and no free trial.
You may cancel a rating request and receive a full refund if (a) you cancel before the AI engine begins processing, or (b) the rating is not delivered within the committed turnaround time (24 hours for standard requests). Once a rating report has been generated and delivered to your dashboard, the service has been fully rendered and no refund is available.
Email ratings@preratings.com with your account email and the rating request ID. Refund requests are processed within 5-7 business days and credited to the original payment method. Disputed charges (chargebacks) initiated without first contacting our support team may result in account suspension.
How to raise a concern, complaint, or grievance — and how we address it
PreRatings is committed to providing a fair, transparent, and responsive grievance redressal process for all stakeholders.
For any query, complaint, or grievance — including concerns relating to data privacy, ethical conduct, or billing — write to us at ratings@preratings.com. We acknowledge all complaints within 24 hours and aim to resolve them within 5 business days. You will receive a unique ticket ID for tracking.
For whistleblower reports, allegations of fraud, or serious violations of our Code of Ethics, use the same address with the subject line "Confidential — Escalation". All such communications are treated with the strictest confidence and investigated independently.
